CommitPath AI — Terms of Service

Last updated: October 27, 2026 · Effective date: October 27, 2026

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of CommitPath AI (the "Service"), operated by Fortis Logic LLC, doing business as CommitPath AI ("CommitPath," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you're accepting on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

If your organization has a separately signed enterprise agreement with us, and it conflicts with these Terms, that agreement controls.

2. Accounts

3. Subscriptions and Billing

4. Your Data

5. Connected Third-Party Accounts

6. Acceptable Use

You agree not to:

We may suspend or terminate accounts that violate this section, with notice where practical and immediately where necessary to protect the Service or other users.

7. Our Intellectual Property

The Service — the software, its interface and design, the qualification models and scoring logic, the documentation, and the CommitPath AI name and logo — belongs to Fortis Logic LLC and is protected by copyright and other laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your subscription is active. They grant you no ownership of it and no licence to its source code.

Nothing in these Terms transfers any of our intellectual property to you, and nothing transfers yours to us: as set out in section 4, your data stays yours.

Feedback. If you send us suggestions, feature requests, or comments about the Service, we may use them to improve CommitPath without obligation or payment to you. We will not identify you as the source without your permission. This applies only to feedback about the Service — never to your deals, notes, or customer data, which remain yours under section 4.

8. CommitPath AI Features

CommitPath AI's generated features are produced using large language models and are provided to assist your judgment, not to replace it. Content CommitPath AI generates may be inaccurate or incomplete. You're responsible for reviewing the coaching, drafts, and summaries it produces before relying on them in a real sales conversation or decision.

9. Availability and Changes to the Service

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED CONTENT WILL BE ACCURATE, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR OPERATE WITHOUT INTERRUPTION.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORTIS LOGIC LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold CommitPath harmless from any claim arising from your violation of these Terms, your violation of any law or third party's rights, or data you input into the Service that you didn't have the right to input.

13. Termination

14. Governing Law; Binding Arbitration; Class Action Waiver

California law governs these Terms, excluding conflict-of-laws rules. The Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions below. In this section, you and Fortis Logic LLC are each a "party".

Before commencing arbitration, either party must send written notice describing the dispute and requested relief to the other party's notice address: for us, the address in Section 16 or support@commitpath.ai; for you, the email address on your account. The parties will attempt in good faith to resolve the dispute through authorized representatives for 30 days after receipt, except where urgent relief is necessary.

BINDING ARBITRATION AND JURY TRIAL WAIVER. Except as provided below, any dispute or claim arising out of or relating to these Terms or the Service, including their formation, performance, breach or termination, will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect. One neutral arbitrator will conduct the arbitration in English. The legal place of arbitration will be Contra Costa County, California, with hearings conducted remotely unless the parties agree otherwise or the arbitrator determines an in-person hearing is necessary. If AAA determines its Consumer Arbitration Rules apply, those rules and their required protections will govern instead. Applicable rules are available at www.adr.org.

The arbitrator may award relief available under applicable law, subject to these Terms' enforceable limitations, and will issue a reasoned written award. Fees and expenses will be allocated under the applicable AAA rules and mandatory law. Neither party must pay fees that applicable law requires the other party to pay. Judgment on the award may be entered in any court having jurisdiction. For claims subject to arbitration, both parties waive a court trial and trial by jury.

Either party may bring an eligible individual claim in small claims court or seek temporary court relief necessary to protect confidential information or intellectual property pending arbitration. Nothing in this provision prevents a report to a government agency or waives a right or remedy that applicable law prohibits the parties from waiving. Courts, rather than the arbitrator, will decide disputes concerning the formation or enforceability of this arbitration agreement or the class action waiver.

CLASS ACTION WAIVER. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONDUCT CLASS ARBITRATION OR CONSOLIDATE DIFFERENT CUSTOMERS' CLAIMS WITHOUT ALL AFFECTED PARTIES' WRITTEN CONSENT. THIS WAIVER DOES NOT RESTRICT CLAIMS OR RELIEF THAT CANNOT LAWFULLY BE WAIVED.

30-DAY RIGHT TO OPT OUT. YOU MAY OPT OUT OF THE CLASS ACTION WAIVER, BINDING ARBITRATION, OR BOTH BY SENDING AN EMAIL TO support@commitpath.ai WITHIN 30 CALENDAR DAYS AFTER YOU FIRST ACCEPT THESE PROVISIONS. THE EMAIL MUST IDENTIFY YOUR LEGAL NAME, ACCOUNT EMAIL ADDRESS, AND WHICH PROVISION OR PROVISIONS YOU ARE REJECTING. AN EMAIL STATING ONLY "I OPT OUT" WILL BE TREATED AS REJECTING BOTH. TIMELY OPTING OUT WILL NOT AFFECT YOUR SUBSCRIPTION, PRICING OR ACCESS TO THE SERVICE. THE REJECTED PROVISION OR PROVISIONS WILL NOT APPLY TO EITHER PARTY. RENEWAL DOES NOT RESTART THIS PERIOD.

For disputes that are not subject to arbitration, the parties consent to exclusive jurisdiction in the state courts located in Contra Costa County, California, and the federal courts of the Northern District of California, except for eligible small claims proceedings or where mandatory law requires otherwise. If the class action waiver is unenforceable for a particular claim, that claim will proceed in court rather than class arbitration. Any remaining enforceable provisions continue to apply. These dispute-resolution provisions survive termination of these Terms.

15. Changes to These Terms

We may update these Terms from time to time. For material changes, we'll provide 30 days' notice via email or an in-product notice before the change takes effect. Continued use of the Service after a change takes effect constitutes acceptance.
